Tidal Problems: Kanye West And Jay-Z Deal With Legal Issues

A judge has dismissed parts of a proposed class-action lawsuit alleging fraud against Kanye West and Tidal. It was ruled that the case can continue on, as the claim does cross “the line from conceivable to plausible,” the judge noted, according to Billboard.

Kanye fan Justin Baker-Rhett claims in his 2016 lawsuit that West and Tidal tricked the public into subscribing to the streaming service through false claims it was the only place to hear West’s highly anticipated seventh studio album, The Life of Pablo, only to see it available on other platforms less than two months later.

On Friday, U.S. District Court Judge Gregory Woods granted parts of Tidal’s motions to dismiss Baker-Rhett’s proposed class-action lawsuit, but refused to toss the whole thing.

Per Woods’ ruling, the lawsuit will move forward as it relates to a tweet by West on Feb. 15, 2016, when he said the album “will never never never be on Apple. And it will never be for sale… You can only get it on Tidal.” Six weeks later, “The Life of Pablo” was available through Apple and other services.

With note to Tidal’s struggle to turn a profit, the lawsuit alleges that the claims about West’s highly anticipated album helped boost the streaming platform’s subscribers from 1 million to 3 million within the first 10 days of its release. And because West was a celebrity shareholder with a 3 percent ownership stake in Tidal, it asserts he was an agent of the company when he made his statement. Which was described as a “reaffirmation” of a tweet from Tidal’s Twitter account the day before announcing the company was bringing The Life of Pablo “to fans around the globe” with exclusive streaming.

Judge Woods deemed that statement true on its face, since the album was exclusively streaming the album for six weeks.

“These allegations, together with the complaint’s description of the business relationship between Mr. West and Tidal, are sufficient to nudge this claim across the line from conceivable to plausible,” wrote Woods.

Last year in a motion to dismiss, West argued that his “never never never” statement was technically true, since The Life of Pablo was “updated and remixed numerous times, with different vocals, lyrics, and arrangements” since its initial release and the only place to get hear that original version was on Tidal. Woods responded to this assertion, saying, “Mr. West’s argument is tenuous, and certainly does not pass muster in the context of a motion to dismiss.”

The judge did, however, throw out parts of the lawsuit claiming that West and Tidal violated New York state law since Baker-Rhett’s transaction with the streaming service did not take place in New York. Woods also dismissed claims based on Tidal’s tweet about the album’s exclusivity and claims that the streaming service falsely concealed plans about the album’s limited exclusivity from fans.

In accordance with the judge’s ruling, Baker-Rhett’s attorney Jay Edelson told Pitchfork they would amend their pleadings and would likely be bringing “a bunch of state-by-state class actions.”

Jay-Z in other new legal action surrounding Tidal, Jay-Z has filed suit against his lawyers for allegedly overcharging him in the purchase of the streaming service.

According to The Blast, the rapper was sued by two Swedish law firms who each claimed that Jay-Z’s S. Carter Enterprises only paid part of what was owed.

One firm, Roschier, claims they are owed $ 294,000 while another, SEB, says they are still owed $ 304,383.

According to court documents obtained by The Blast, Jay-Z claims the firms each “performed certain services for which they have been paid yet seek additional compensation.” He also alleges that any money they say they are owed came from their “own culpable conduct in over billing” him.

Jay-Z also argues that the lawsuit should be tossed because they did not “perform under the contracts they now seek to enforce.”

S. Carter Enterprises is seeking to have the suit dismissed entirely.

Trying to use one lawyer to review all the documents for everyone involved in a legal matter (or not seeking any legal advice at all) can seem like a decent way to save money and lower expensive fees.

With complex situations, like matters that result in complicated prenups or separation agreements, we sometimes lack the legal understanding required to do a review of our document ourselves to ensure it not only fits our needs but isn’t unfair.

In this post, we lightly unpack independent legal advice and explore what it is, why it is important, and how it protects us.

What is Independent Legal Advice?

Independent legal advice is when you get advice from a lawyer separate from the other people involved in the matter. Typically, a certificate of independent legal advice is signed and included with your agreement. Without independent legal advice, your document may not be enforceable in court.

For instance, let’s say you are preparing a Prenuptial Agreement. To ensure your document is valid and enforceable in the event of a dispute, your future husband or wife would get their agreement reviewed by one lawyer, and you would get yours reviewed by another.

Whether independent legal advice should be sought or not can depend on:

  • The document you are creating (certain documents, especially potentially contentious ones that have a large impact on your present and future rights and obligations, often require a higher degree of scrutiny to ensure equality is maintained in the contract)
  • Your situation (if there is a conflict of interest, joint retainer, or the attorney is acting as a mediator, independent legal advice may be needed)

How Does Independent Legal Advice Protect Me?

On the surface, independent legal advice can seem like just another fee for lawyers to charge. In reality, it is crucial to maintaining fairness in contracts.

The purpose of independent legal advice is to:

  • Provide an objective review of a legal document
  • Confirm a client understands the document properly
  • Verify a client has not been pressured into signing their document (i.e. duress or undue influence)

Finalizing Your Documents

For some documents, like a Prenuptial Agreement or a Separation Agreement, independent legal advice is an essential step to creating a valid, fair document.

It can be a pain to pay the extra cost for separate legal advice, but it is worthwhile in ensuring your legal needs are met and you have not been taken advantage of.

Boilerplate Clauses in a Legal Document

Boilerplate clauses, also known as standard, miscellaneous, or general clauses, are clauses that are found at the end of most legal documents. These provisions address a range of things such as what happens if a document is declared unenforceable, how disputes will be resolved, which laws govern the contract, and more.

General clauses may be considered secondary to the significant parts of the document because they use standardized language and are buried near the end of the agreement. However, they should not be mistaken as unimportant and parties should pay as much attention to them as they do to the main clauses such as payment.

Learn more about common boilerplate clauses below, including some real examples and what they mean in a legal agreement.

Severability

What happens if part of your contract is invalid or illegal? A severability clause, also called a savings clause, states that the rest of a contract is still valid if part of it is considered illegal or unenforceable. Without a severability clause, the whole contract could be thrown out if one part of it is deemed invalid.

Severability Clause Example:
If any part of this agreement is declared unenforceable or invalid, the remainder of the agreement will continue to be valid and enforceable.

Jurisdiction or Governing Law

A jurisdiction or governing law clause declares which laws the agreement adheres to and where the lawsuit will be filed if disputes arise.

Jurisdiction Clause Example:
This agreement shall be governed by the laws of California.

Dispute Resolution

Every contract that involves two or more parties has a dispute resolution clause to indicate how disputes will be handled. The clause may specify the preferred form of dispute resolution such as negotiation, mediation, or arbitration (which has gained popularity because it is fast and informal).

Dispute Resolution Clause Example from a Separation Agreement:
In the event a dispute arises regarding the agreement, the Parties will try to resolve the matter through negotiation or mediation, prior to initiating a court action.

Force Majeure

A force majeure clause means that if the parties are unable to perform their contractual obligations due to circumstances beyond their control, their obligations may be temporarily suspended or completely excused. The clause may list external events, such as natural disasters, war, strikes, flood, etc. that could make contractual performance impossible.

Force Majeure Clause Example:
No party shall be liable or responsible to the other party, nor be deemed to have defaulted under or breached the agreement, for the delay in performance of this agreement when and to the extent such failure or delay is caused by acts beyond the party’s control.

Waiver

The waiver clause may be easily missed but it illustrates an important point. It means that if a party fails to enforce part of a contract, such as not charging late fees to a tenant who paid late rent, they can still do so in the future.

Waiver Clause Example:
Any waiver by the Landlord of the Tenant’s failure to perform any provision of this Lease is not a waiver of the Landlord’s right to subsequently insist on performance or pursue any remedy for that failure.

Amendment

An amendment clause describes how changes are made to an agreement. Typically it states that changes must be signed in writing by both parties.

Amendment Clause Example:
This Agreement cannot be modified in any way except in writing signed by all the parties to this Agreement.

Time is of the Essence

You may have seen, “Time is of the essence in this Agreement” at the end of a contract. Including this clause means that the timelines listed in the contract are absolutely critical (“of the essence”) and if a party fails to meet them, the other party is able to rescind the contract.

Assignment

An assignment clause clarifies whether parties can give their contractual rights or obligations to another party. The clause might include exceptions, such as if assignment can only be done with permission from the other party.

Assignment Clause Example:
This Agreement will not be assigned either in whole or in part by any Party without the written consent of the other Party.

Headings

The headings clause simply states that the bold headings within the document were placed there for organizational purposes. Usually, headings are an over-simplification of the content, and therefore should not affect the clause they are summarizing.

Headings Clause Example:
Headings are inserted for the convenience of the parties only and are not considered when interpreting this Agreement.

Counterparts

A counterparts clause is included when the parties will sign separate copies of the same document (if they can’t be in the same place at the same time). It is often written as, “This Agreement may be executed in counterparts.”

Notice

The notice clause clarifies how each party will deliver notice to each other. It can state the form of notice (written), how to deliver it (by person or mail), and when it is deemed received.

Notice Example Clause:
Any notices or delivery required here will be deemed completed when hand-delivered, delivered by agent, or seven days after being placed in the post, postage prepaid, to the Members at the addresses contained in this Agreement or as the Members may later designate in writing.

Entire Agreement

The entire agreement clause can be important when there are ongoing negotiations. It means that any previous understandings, including both oral and written agreements, are not included in the contract. If an entire agreement clause is in a contract, the parties should make sure that anything they want to be included in the deal is written in the agreement.

Entire Agreement Clause Example:
The Agreement constitutes the entire agreement and understanding between the Parties to this Agreement and supersedes all prior communications, contracts, or agreements between these Parties with respect to the subject matter addressed in this Agreement, whether oral or written.

Boilerplate Clauses: Standard but not Secondary

While standard in most corporate and commercial contracts, boilerplate clauses serve an important purpose in clarifying the relationship between the parties and spelling out any situations that otherwise wouldn’t be addressed in the operative section of the agreement.

Parties may be tempted to gloss over the details or avoid negotiating standard provisions, but it’s important to review the miscellaneous section for information that could impact you or the other party.

New Legal Filing Accuses Ciara’s Ex-Future Of Becoming An Absentee Dad

Ciara has filed court papers against her ex Future – this time claiming that he’s becoming an absentee dad.

In new documents obtained by TMZ, the singer claims Future is missing too many scheduled visits with his three-year-old son, Future Jr.

Ciara said her ex only has made just 37 percent of his scheduled visits, and many of those are at the last-minute. She also alleges that during the elder’s trips to his native Georgia with their son, the boy spends most of his time with elderly relatives, and she rarely gets to FaceTime her son to make sure he’s okay.

Ciara, who also has baby daughter Sienna Princess with husband Russell Wilson, further claims that little Future has health issues stemming from all the cross-country travel with his father, and that it’s causing him to have emotional breakdowns at school.

She’s seeking mediation with Future, so they can hammer out a better schedule for their son’s travel and for the sake of his health, TMZ reports.

The clouds are clearing. The temperatures are warming.

That means it’s time for crop tops and cutoff shorts — err, I mean music festival season.

Austin, Texas, always sees big crowds for South by Southwest in March, then Austin City Limits in October. Chicago’s got Lollapalooza in April and Pitchfork in July. Then you’ve got the staples like Coachella and Bonnaroo. And don’t forget about the tours that stop by mid- to small-sized towns. We betcha there’s something coming to your town this year.

I’m being a bit of a curmudgeon here, but music festivals just aren’t my thing. What is my thing, though, is making money.

How to Make Money at Music Festivals (Without a Ticket)

Sure, you’ll find plenty of opportunities to make money inside these festivals. But if that’s not your scene, here are tons of ways to make money without dropping hundreds of dollars for a ticket.

1. Rent Your Extra Room to Out-of-Towners

Have a spare room? Might as well use Airbnb to make some money by renting it out.

If you’re a good host with a desirable space, you could add hundreds — even thousands — of dollars to your savings account with Airbnb.

And there’s no reason you can’t be creative. We found a guy who earns $ 1,380 a month renting out a backyard tent on Airbnb.

A few simple steps can make the difference between a great experience and a less-than-satisfactory one.

Here are some tips:

  • Make your space available during high-demand times in your area.
  • Be a good host, and stock your place with the toiletries you’d expect at a hotel — toilet paper, soap and towels.
  • Be personable. A lot of travelers turn to Airbnb for the personal touch they won’t find at commercial properties.

2. Rent out Your RV or Camper

If you’re in that boat (er, camper), you can turn your unused RV into cash.

3. Shuttle Festival-Goers Around Town

Need a fun, flexible way to earn money while also meeting lots of new people?

Try driving with Lyft.

Demand for ride-sharing has been growing like crazy, and it shows no signs of slowing down. To be eligible, you’ll need to be at least 21 years old with a year of driving experience, pass a background check and own a car made in 2007 or later.

4. Cure the Munchies

Ahhh, the sweet smell of takeout stinking up your car.

OK, it might not be the most appealing thing in the world — you might want to crack a few windows, depending on the type of cuisine you’re delivering — but Uber Eats offers flexible food-delivery opportunities.

6. Offer Your Pet Sitting or Babysitting Services

Music festival attendees aren’t always livin’ young, wild and free. Sometimes they’re adults who have responsibilities and who are responsible but might just want a day or weekend to unwind.

That’s where you can help. Offer your pet-sitting or babysitting services. List your availability through a platform like Care.com. There, you can connect with potential clients and help adults get some much-needed time to relax.

7. Work the Festival (If You Dare)

If you’re not allergic to patchouli oil, see if the music festival nearby is hiring. You might be able to make some quick money by working at a concession stand, directing traffic or working security.

Chances are you can search the music festival and it’ll have a jobs page for you to peruse.

Forget the Tunes: Watch That Cash Flow

All right, grumps (read: me).

Before you grab your ear plugs and hibernate all weekend (or week) while those youngins take over your town, set up a way to make money from the situation.

In the Midst of #MeToo, Alice Glass Scored a Legal Victory Against Her Alleged Abuser and Former Bandmate

Ethan Kath of the band Crystal Castles sued former bandmate Alice Glass for defamation in October after she released a disturbing account alleging he had physically and emotionally abused her. Late last month, the defamation lawsuit was dismissed in court.

“This is a victory for survivors of abuse and sexual misconduct in countries where abusers use the court system to further victimize and keep people silent,” Glass wrote on Twitter after the ruling. In all caps, the Canadian singer added: “WE WILL NOT BE SILENCED.”

Glass had charged Kath with “almost a decade of abuse, manipulation and psychological control,” starting from when she was just 15 years-old. “Claudio was very manipulative towards me,” she wrote. “Over a period of many months, he gave me drugs and alcohol and had sex with me in an abandoned room at an apartment he managed. It wasn’t always consensual.” At least one other woman has also accused Kath of sexual assault.

After Glass wrote about the alleged abuse, Kath responded by dismissing her claims as the words of a mentally unstable drug addict, labeling them “extortion, false claims and accusations” and insinuating that Glass accused him of abuse because she was upset that the band had achieved success since her departure. He went on to sue Glass for defamation—but on Feb. 23, the Los Angeles Superior Court held that her “motion to strike” was granted, effectively dismissing Kath’s complaint in its entirety.

Glass’ victory in court is particularly important because of how often women and survivors are disenfranchised within the legal system. Women and survivors have nothing to gain—and often everything to lose—from speaking up about harassment, abuse and assault. They can lose jobs and important relationships in their industries, as well as ridicule, slut-shaming and victim-blaming. Even worse, they can face retaliation, threats and violence for coming forward.

Glass first accused Kath of misconduct around the onset of the #MeToo movement, as women and survivors of sexual abuse across the country—and the world—began speaking out about their experiences with sexual abuse and harassment. #MeToo and the use of social media to raise awareness about abuse, hold powerful men accountable and demand justice began largely because of the limited options women have in workplaces and the legal system to defend themselves.

While those who defend men accused of abuse frequently argue that #MeToo and believing women undermine due process, what’s rarely considered is that due to a wide range of circumstances, survivors’ testimonies are often the only evidence they are able to provide. The insistence within institutional and cultural power structures that those testimonies alone aren’t enough to justify consequences for alleged perpetrators denies survivors credibility—and has also denied many victims justice for generations.

Legal Names vs. Trade Names in Business

A business name is one of the first things that connects a customer to a company’s products or services.

Businesses pine for catchy, recognizable names that they can use to structure their brand, reach customers, and generate sales. Their goal is to become a household name like Walmart, Amazon, or Disney.

But did you know that many businesses use a second “legal” name on paper that differs from their catchy, household one?

Many companies use legal (or registered) names and trade names (DBA names) for different purposes. In this post we’ll discuss the difference between them, and why a company might use them.

What Does DBA Mean?

DBA is simply an acronym that stands for “doing business as”. It’s a term that refers to a company’s trade name. In other countries like Canada or England, DBA is sometimes seen as T/A (Trading As) or O/A (Operating As), but they all mean the same thing.

For example, Walmart’s trade name is Walmart, but the company’s legal name is Wal-Mart Stores, Inc. (which will actually be changing to Walmart, Inc. effective February 1, 2018).

Why Do Companies Have Trade Names?

Typically, a company will have both a legal name and a trade name. Their legal name is the one that appears on government and legal forms, like their Articles of Incorporation—documents a company must file with the state department to legally form a corporation.

Businesses will likely use their trade names for the purposes of sales or advertising. Think of them as almost a nickname for the company.

For instance, Disney Consumer Products and Interactive Media is branded under the trade name The Disney Store, which is pithier (and less of a mouthful).

Corporations also use trade names to differentiate their brands, especially if they make a variety of products for different demographics.

For instance, Banana Republic, Old Navy, Athleta, and Intermix are all different stores with different inventory, but all of them are registered Gap Inc. brands.

Do I Need to Register a Trade Name?

Some states (like Washington, for example) require businesses to register both a legal name and their trade name to officially conduct business under both, but it’s not a requirement everywhere. The decision to register both is often up to the business owner; however, there are some advantages to trade name registration.

For example, if your clients pay you with checks, having both names registered means that you can open a business checking account under both names and your clients can use either your legal name or DBA name as the recipient. This comes in especially handy if your clients aren’t aware of your legal name.

It should be noted that in some states, registering your name doesn’t always stop other companies from conducting business under that name. Typically, the right to the trade name goes to whoever uses the trade name first in association with their business, not necessarily the first to register.

Choosing a Name for Your Business

Regardless of how much your legal business name might differ from your DBA or trade name, the important thing is that you use them both to your benefit.

At the very least, try to make your trade name clear, catchy, and easy to pronounce, and keep in mind what impressions your name makes on a potential customer.

China’s Legal Ivory Trade Ends Today

Each year roughly 30,000 African elephants are poached, and many of those deaths have served to provide ivory for the world’s largest market: China.

But starting tomorrow, the sale of almost all ivory will be illegal in China. Ivory carvers and sellers will be permanently closed for business. According to National Geographic, a large-scale public education campaign will also work to inform Chinese citizens that harvesting ivory requires that elephants be killed. A 2007 survey found that 70 percent of Chinese didn’t know ivory harvesting killed elephants.

Hunting elephants is illegal across much of Africa, and importing ivory has been outlawed worldwide for nearly three decades, but illegal poaching continues on a large scale. According to NatGeo, that has been attributed to a one-time 2008 purchase of legal ivory for China and Japan’s domestic markets. Research has since shown that supply provided cover for a sharp rise in the flow of illegal ivory.

Representatives of international conservation groups have praised the ban, which was negotiated bilaterally with the United States in 2015. Though ivory is a status symbol for some wealthy Chinese, a survey by the World Wildlife Fund found that 86 percent of Chinese people supported the ban.

The former stripper, 29, made no mention of her upcoming legal battle with her former fiancé Rob Kardashian’s family – which stepped up a gear this week.

According to court papers seen by People, Chyna is set to face the famous family in court next month as part of an ongoing legal battle.

New documents show that on January 18, 2018, lawyers for Kim Kardashian and Kris Jenner will ask a judge to toss out the legal case, originally filed by Chyna.

It all started back in October, when Chyna asked for unspecified damages from the entire Kardashian family because she claimed they stopped series two of her show, Rob and Chyna, moving forward.

However, the Kardashian clan insist Chyna’s decision to seek a restraining order against Rob for domestic violence meant it was impossible for the show to go ahead as the order prevented Rob from having contact with her.

Chyna’s original lawsuit named all the Kardashian/Jenner sisters but was later changed to just Kris, Kim and Rob.

The two sides have legal history.

In 2016 the Kardashians sued Chyna for trying to trademark the name Angela Renee Kardashian – which would have been her legal name if she’d married Rob.

At the time, the family claimed they would “suffer damage including irreparable injury to their reputation and goodwill” if she did trademark the name.

Uber’s Use of Encrypted Messaging App Wickr May Set Legal Precedents

Top executives at Uber used the encrypted chat app Wickr to hold secret conversations, current and former workers testified in court this week, setting up what could be the first major legal test of the issues raised by the use of encrypted apps inside companies.

The revelations Tuesday and Wednesday about the extensive use of Wickr inside Uber upended the high-stakes legal showdown with Alphabet’s Waymo unit, which accuses the ride-hailing firm of stealing its self-driving car secrets.

Apps such as Wickr, Signal, Telegram, Confide and Snapchat offer security and anonymity, with features including passcodes to open messages and automatic deletion of all copies of a message after as little as a few seconds.

There is nothing inherently unlawful about instructing employees to use disappearing messaging apps, said Timothy Heaphy, a lawyer at Hunton & Williams and a former U.S. Attorney in Virginia.

However, companies have an obligation to preserve records that may be reasonably seen as relevant to litigation or that fall under data retention rules set by industry regulators. In Uber’s situation, chat logs that could help get to the bottom of the trade secrets case are now inaccessible. Uber also faces a criminal investigation over the alleged theft.

“It’s a knotty question for courts and lawyers on when the obligation arises” to preserve records, said Julia Brickell, general counsel at the legal discovery firm H5. But “if someone uses a communication device to specifically hide information from litigation because you knew it would result in litigation, that would be foul from the start.”

Richard Jacobs, a security analyst whom Uber fired in April and now consults for the company, testified Tuesday that up to dozens of employees were trained to used ephemeral messaging systems, including Wickr, to communicate so that their conversations would be clandestine and could not surface in any “anticipated litigation.”

Two officials still at Uber testified Wednesday that multiple teams used Wickr. Among the users, they said, was Anthony Levandowski, a one-time leader of Waymo’s autonomous vehicle efforts who the company alleges brought trade secrets to Uber.

It is unclear when Uber began using Wickr, but the company said that in October of last year it began paying for a business version that gave it the ability to preserve messages for as long as a year instead of a maximum of six days.

While the contents of an individual user’s Wickr account would be impossible to access without the account-holder’s permission, the business version gives the company the ability see whatever information has not been automatically erased.

In the middle of the contentious court hearing Tuesday, Uber Chief Executive Dara Khosrowshahi tweeted: “True that Wickr, Telegram were used often at Uber when I came in. As of Sept 27th I directed my teams NOT to use such Apps when discussing Uber-related business.”

U.S. District Judge William Alsup opened the pre-trial hearing by admonishing attorneys that counsel in future cases can be “found in malpractice” if they do not turn over evidence from specialized communications tools.

An app such as Wickr “could be a way for Levandowski to communicate ‘By the way, how did we do that back at Waymo?’ and all that vanishes in 30 seconds,” Alsup said. “To me it’s plausible that it happened. And the evidence is gone now. Because it was an intentionally set up system to not leave a paper trail.”

Federal civil court guidelines enable judges to tell jurors that they can presume that information covered up by a litigant and now missing would have been negative for that party, Brickell said.

Such a declaration could hurt Uber, as its primary defense has been that Waymo has turned up no concrete evidence of the trade-secret theft. Now, Waymo can claim that such evidence was simply deleted.

“That they were so concerned about covering things up meant that they could have known what they were doing was a crime,” said Nick Akerman, a lawyer at Dorsey & Whitney and a former federal prosecutor in Manhattan. “To me, that’s very powerful evidence.”

Andy Wilson, chief executive of forensics software maker Logikcull, said it is already common for companies to search for usage of encrypted apps or deleted messages when conducting internal investigations.

He said his company’s program is used by Salesforce.com and other businesses to scan emails and chat messages. Emails showing a user signed up for a service such as Signal or Telegram are held against them in internal investigations, he said, as are records showing a text was deleted.

“It’s a huge win for (customers) because it shows ill-intent” on the part of the subject of the investigation, Wilson said.

As Access to Legal Marijuana Increases, Kaiser Permanente Researchers Explore Patient Use

SEATTLE  — About 1 in 7 adult primary care patients visiting medical offices reported having used marijuana at least once in the past year, according to a study conducted by Kaiser Permanente researchers since Washington state legalized nonmedical cannabis use in 2014.

In young adults, that rate was higher: nearly 2 in 5. Young adults — especially men age 18-29 who had depression or used tobacco — were also much more likely than others to use cannabis every day. These findings raise concerns, according to first author Gwen T. Lapham, PhD, MPH, MSW, a Kaiser Permanente Washington Health Research Institute research associate. “Much remains to be learned about marijuana use, while legalization is spreading.”

“Routinely asking about cannabis use in primary care is part of whole-person care, and it’s the first step to starting a conversation between patients and their primary care providers,” says the study’s principal investigator, Katharine A. Bradley, MD, MPH, a senior investigator at KPWHRI and internal medicine physician with Washington Permanente Medical Group.

“Our findings highlight the need for primary care clinicians to be aware of the benefits and harms that patients may be experiencing due to their cannabis use — and initiating a conversation is only the start in that process,” Dr. Bradley adds.

These conversations can help providers assess the intensity of patients’ use, perceived risks and benefits and reasons why patients are using cannabis, for instance possibly for symptoms of a treatable condition.

Kaiser Permanente researchers in Washington analyzed information from medical visits, keeping private the information that could help identify any of the 22,000 patients in the study. Published in the Journal of the American Board of Family Medicine, “Frequency of Cannabis Use among Primary Care Patients in Washington State” is among the first U.S. studies to evaluate the population-based prevalence of patient-reported cannabis use among primary care patients, particularly in a state where nonmedical use is legal.

After alcohol and tobacco, marijuana is the most commonly used drug in the United States. In recent years, the concentration of tetrahydrocannabinol (known as THC), the main psychoactive and addictive component, has increased in cannabis plants from 3 percent to 12 percent, Dr. Lapham says. And new products — like concentrated hash oil and synthetic cannabinoids — are raising the potency and risk for addiction.

“Some groups of patients are more likely to use cannabis daily and be at higher risk for complications such as cannabis use disorder — as well as some harms that are not yet completely understood,” Dr. Lapham says. Among patients who reported using cannabis, about half used it at least monthly — and about 1 in 5 used it daily, the researchers found. From a quarter to half of people who use daily are estimated to develop a cannabis use disorder, where patients can’t cut down on their use despite accumulating use-related problems.

“Widespread daily use in young men with depression is concerning, because using cannabis can worsen depression and anxiety,” Dr. Lapham says. Although counseling can improve outcomes, no medication is known to be effective or approved to treat cannabis use disorder, she added.

Medical cannabis use is now legal in 29 states, and nonmedical use is legal in eight states. In 2014, Washington state became one of the first two states to sell cannabis for nonmedical (“recreational”) use. With expanding legalization of cannabis use, the number of users is projected to grow during the next decade.

The legal team representing former National Security Advisor Mike Flynn has notified President Donald Trump’s own lawyers that they will no longer discuss the investigation currently being conducted by special counsel Robert Mueller, the New York Times reports. The end of Flynn’s legal cooperation with the president’s team indicates that Flynn may be cooperating with prosecutors, or negotiating doing so. Flynn’s defense team had been sharing information related to the investigations with Trump’s lawyers, but recently terminated the agreement. Mueller has been tasked with leading a broadening investigation into Russian interference with the U.S. presidential election in 2016, and examining allegations of collusion between the Russian government and Trump’s campaign and allies.

You probably started your business because you’re passionate about the products you make or the services you provide. The last thing you want to think about is the law and how it impacts your business. But the law does affect your business, so you should be informed.

Here are a few legal questions that you should ask yourself.

Should I Incorporate?

Every business’s operations create the potential for legal liability. Like it or not, it’s a part of interacting with the public and offering products or services to them. Do you have a retail store? Someone could fall and become injured while shopping in your store. Do you manufacture a product? Using the product might hurt someone or damage property. This sort of potential liability could cost you and your business a lot of money if it’s your fault.

One of the ways to protect yourself against the liability risks generated by your business is to incorporate. When you incorporate, you create a new entity that owns and operates the business. You own the company, but the company owns and operates the business. In this way, you are legally separated from your business and the liabilities it generates. If someone slips and falls in a store operated by your corporation or limited liability company (LLC), then your company would be held responsible instead of you. This creates a barrier between your business operations and your personal assets.

There are limits to this protection, however. For example, you are always responsible for your own actions, so if you’re the one who mopped the floor and forgot to post a wet floor warning sign, both you and your company could be held liable when someone slips and falls. Also, you are responsible for obligations you personally guarantee, and in certain circumstances courts will disregard the company entity and hold the business owner responsible in what is known as “piercing the corporate veil.”

There are very few circumstances where it is advisable to operate a business without the protection of a corporation or LLC. Since every business creates the potential for liability, your personal assets will be at risk unless you can mitigate all of the risks created by your business through some other means, such as insurance. Sometimes business owners decide that the potential liabilities created by their businesses are very small or they conclude that they have adequate protection from insurance. But it’s rare that a business shouldn’t be incorporated.

Could I Be Held Personally Liable for My Company’s Contracts?

If you haven’t incorporated, then yes, you are personally on the hook for your business’s contracts. If you have incorporated, you shouldn’t be personally liable in most cases as long as you sign the contracts correctly.

When you do business through a corporation or an LLC, you should think of yourself and your company as separate persons. You don’t own or operate the business—your company does. You own the company, and you do things on behalf of the company such as sign its contracts, but you don’t directly own the business assets and you don’t enter into contracts on your own behalf.

When you sign your company’s contracts, you are acting as an agent of the company—on its behalf. You have to make that very clear. This is usually done by listing the company as a party to the contract in the first paragraph and also in the place where the contract is signed, which are known as the signature blocks. You should also list your title (such as president) next to your name in your company’s signature block.

If someone presents a contract to you that has your name instead of the company’s name in the first paragraph or in the signature blocks, you should have the document corrected before you sign it. Otherwise you may be responsible for the contract instead of the company.

Do I Own My Website?

So far we’ve been dealing with legal issues relating to liabilities, but there’s a quirky part of the law involving ownership of written materials that every business owner should be aware of. This involves copyright law.

When you hire someone to create work product for your company, such as marketing materials or the code behind a website, rights to those materials—known as copyright—are automatically created. What you might not know is the copyright vests in the person creating the materials—and not your company—even if you’re paying the creator specifically to create the materials for you.

This is the default situation under copyright law, which is the opposite of what you might expect. Most people intuitively believe that they automatically own materials that they pay for, but that’s not the case.

Although the default under copyright law vests copyright ownership in the creator of materials, this default can easily be overcome through your contract with the person you’re engaging to create your marketing materials or your website. Your contract should contain a clause by which the creator assigns the materials to your company. It’s that simple.

Consider a Corporation

Although you probably don’t want to spend a ton of time thinking about legal issues, you should consider whether or not to incorporate. You should be careful when signing contracts, and you should make sure that you own materials that you pay to create, such as your marketing materials and your company website. If you keep these questions in mind, you’ll be able to focus on running your business.

Uber faces another twist in its legal battles

The war between Uber and one of its major investors just got a new twist. 

Two Uber stockholders are trying to prove that Benchmark Capital, the investor that pushed for the ouster of founder Travis Kalanick as CEO and is now suing him for fraud, leaked information about Uber before all that started in a bid to take control of the ride-hailing giant. 

Lawyers for the two stockholders sent a letter to Uber’s board demanding to look at Uber’s books, Business Insider reported. The stockholders want to prove that Benchmark leaked information related to former Attorney General Eric Holder’s investigation into Uber’s corporate culture.  Read more…

Remembering Charlie Gard as a baby, not a legal battle

Charlie Gard, who became the subject of an international lightning rod legal case for the rights of parents to chart a course of treatment on behalf of their sick babies, died on Friday.

Baby Charlie was 11 months old. He was born was an extremely rare condition called mitochondrial DNA depletion syndrome. His short life became the subject of an intense court battle in Great Britain, as parents Connie Yates and Chris Gard fought to fully steer their son’s course of treatment even when their own opinions differed from those expressed in the medical community.

Baby Charlie quickly became a symbol of the heartbreaking legal and ethical dilemmas babies with life-threatening or terminal medical diagnoses face.

But I don’t want to focus on Baby Charlie as a symbol of anything. Instead, I want to remember him just as a baby. Much is made of the courage of his parents for their staunch legal advocacy in the face of seemingly insurmountable medical odds.

Here, I want to leave the legal out.

I simply honor the courage it takes to fall in love with a baby who is dying. It is a strange courage – many in the loss community take issue with the concept of “courage” as attached to love of a child. Of “courage” in their perseverance. These parents would say it was the most natural thing in the world to them, and what they drew on was not courage but parental love. Still, the loss of a child is soul destroying and it does take a kind of pure sacrifice to watch the light go out.

I am a loss mom. The circumstances of my own loss are entirely different, so much so that I would not even mention it here were it not for the fact that my membership in this broad community has enabled me to meet and befriend parents who have had children born with terminal diagnoses. They are warriors of the heart and in a class by themselves – managing the simultaneous hello and goodbye at a cost of almost everything.

I started turning off the radio whenever the case was covered because I began to hear the judgment in this all-around-tragedy of a case. The call in commenters could seem broad-minded, sympathetic, and even kind. They reminded about the babies dying of cholera and malaria. And while that it all true it is not relevant to the facts of this case.

I celebrate here the love of Yates and Gard for their baby in the purest form. No politics, not public anything.

I will not guess at the pain of a family I have never met.

I will not speculate about the political implications – important though they may be – this week.

This week, I simply join millions and millions of others in sending thoughts and/or prayers to the family of Charlie Gard.

Taylor Swift Gets Pre-Trial Victory in Her Legal Battle with DJ Who Allegedly Groped Her

Taylor Swift and her legal team scored a small victory in their legal battle with David Mueller, a former Denver radio host who allegedly groped the singer during a 2013 meet-and-greet.

On Wednesday, a federal judge sanctioned Mueller for destroying multiple electronic devices containing key evidence in the case, according to the Denver Post.

Mueller sued Swift in September 2015 claiming the pop star cost him his job after the Grammy winner claimed he groped her during a meet-and-greet session. In court documents, Mueller admitted Swift had been groped but blamed his “superior” at KYGO, Eddie Haskell.

U.S. District Judge William Martinez has allowed Swift’s attorneys to question Mueller about a two-hour audio recording he taped during an interview with his boss Robert Call, the day before he was fired. In the latest court papers obtained by The Post, Mueller admitted to destroying or losing four electronic devices, including a cellular phone, laptop, iPad and computer.

Mueller gave multiple reasons behind his actions, specifically that he spilled coffee on his laptop’s keyboard. “It was fried,” Mueller said.

Martinez believes the recording is critical evidence due to Call’s claims that Mueller changed his story when he confronted him about Swift’s claim that he assaulted her. Call said that was one of the factors in his decision to fire Mueller in June 2013.

According to court documents from Swift’s October 2015 countersuit previously obtained by PEOPLE, Mueller and his girlfriend were participating in a meet-and-greet in 2013 with Swift when he “intentionally reached under her skirt, and groped with his hand an intimate part of her body in an inappropriate manner, against her will, and without her permission.”

After the alleged incident, Swift was “surprised, upset, offended, and alarmed” and informed her photographer, tour manager, and security team, according to the papers.

A trial date has been set for early August.
